                                (ii)  Offer/proposal

                                      ▪  Clause 2a – when one person signifies to another his

                                         willingness to do or to abstain from doing anything,

                                         with a view to obtaining the assent of that other to

                                         the act or abstinence, he is said to make a proposal.

                                      ▪  A proposal is an intimation, by words or conduct, of

                                         a willingness to enter into a legally binding contract

                                         and which in its terms expressly or impliedly.



                                (iii) Acceptance

                                      ▪  Clause 2b - when the person to whom the proposal is

                                         made signifies his assent thereto, the proposal is said


                                         to be accepted: a proposal, when accepted, becomes

                                         a promise.

                                      ▪  Acceptance of a proposal is the expression by words

                                         or conduct of assent to the terms of the proposal in

                                         the manner prescribed or indicated by the promisor

                                      ▪  Clause  7  –  acceptance  must  be  absolute

                                         (counteroffer, change of terms, equivocal (qualified

                                         acceptance) = no contract).
